Rationale:
Approve the proposed changes to the Articles of Incorporation in Articles VII and IX removing the requirement that the President and Vice-President of the Board of Education serve as the President and Vice-President of the Foundation Board.
The Board of Education will select by majority vote any three members of the Board of Education to serve as the Board of Directors of the Foundation. The Foundation Board members will select a President and Vice-President of the Foundation Board from its membership by majority vote of the members. Attached are the Articles of Incorporation of the Foundation with the proposed changes to Articles VII and IX. All other Articles will remain unchanged.
