Rationale: 

Board Policy #1.405 requires majority of membership approval to conduct any business.  This policy is derived from Tenn. Code Ann. § 49-2-202(g). Subsection (g) of the statute requires approval by a “majority of all the members constituting the board, and not merely a majority of the quorum” to “transact all business” of the board. All business is a fairly broad phrase, and under a plain language reading appears to cover the election of a board chairman. The election of the office of board chairman is required by statute.

I had hoped that there might be an exception for items of board housekeeping.  We could not locate any such exception.  Tenn. Code Ann. § 49-2-202(g) has only been referenced in one opinion from the Attorney General’s Office. While the opinion was not directly on point, it did take an expansive view of the phrase “all business”, as used in the statute.

To be on the safe side, I suggest a ratification vote by the Board at the next board meeting covering the positions of both chairman and vice chairman.
